Shaw and Partners is pleased to be appointed as Joint Lead Manager to the proposed capital raising by Whispir Limited (ASX.WSP).

The Company is proposing to raise up to approximately $45.0 million, via a Placement of up to approximately 12 million new ordinary fully paid shares at $3.75 per security.

The offer price of $3.75 represents a 3.6% discount to last close on 1 March 2021 ($3.89) and a 8.8% discount to the 3-day VWAP (up to and including 1 March 2021) ($4.11).

Whispir will offer eligible Australian and New Zealand shareholders the opportunity to acquire up to $30,000 of new shares via a Share Purchase Plan (“SPP”). The SPP will be capped at $3.0m and is not underwritten.

Whispir will utilise the proceeds of the Offer to accelerate the product roadmap, drive new and existing growth in ANZ and Asia and fund North American market expansion.
